The Legal Department has a number of keyoperations to meet our obligations to various regulatory oversight andinvestigative bodies as necessary.
This includes obligations to regulatorybodies of legal entities, both domestic and international that regulate ourbusiness as well as to civil and criminal investigation authorities oradversarial counsel.
Legal is organized by Practice Groups that conform to theorganization of the Firm’s line of business and corporate staff areas.
EachPractice Group has a General Counsel who is the Practice Group Head and whoreports to the Firm’s General Counsel. This structure provides the means forthe Legal teams to communicate legal and regulatory changes to the business andstaff areas and for the lines of business and staff areas to communicatebusiness developments that have legal or regulatory implications to the Legalteams in a timely manner.
The Office of the Secretary ( OTS ) partnerswith senior management, control groups, lines of business and corporatefunctions to promote effective governance of the Firm, its branches,subsidiaries and affiliates.
It operates through a corporate team and regionalhubs in North America, EMEA, Latin America, and APAC. OTS also works closelywith the Firm’s Board of Directors and is responsible for the coordination ofBoard meetings and materials.
OTS is looking for a Legal Entity Management Analyst , based in Buenos Aires, Argentinato join the Legal Entity Management Desk ( LEMD ).
The Legal Entity Management Analyst may be responsible for deliveryof one or more corporate governance functions with a focus on Latin America.
Duties included but arenot limited to :
Support the CorporateGovernance Contact ( CGC ) with Board, Shareholder and / or Committee meetings,including, but not limited to :
Collection, consolidationand distribution of agenda and materials
Ensure corporate records(Minute Books) are maintained in proper order
Keep internal databasesupdated
Support the CGC with complianceof internal governance policies and / or procedures
Respond to inquiries throughthe OTS internal application (Ask OTS)
Support the CGC with thepreparation of Secretary Certificates, Powers of Attorney, Resolutions andother legal documents as required
Provide project relatedsupport and research as requested by the CGC
Self-starter with theability to work independently and as part of a team
Highly detail oriented,results driven with ability to multi task and meet deadlines
Ability to identifyissues requiring escalation or special attention
Excellent written andverbal communication skills
Takes accountability forwork product and owns duties through completion with proper follow up, resolveserrors
Fluent in Portuguese (advanced or nativespeaker)
University Degree and at least 2 years relatedexperience in corporate governance position or law firm
Strong analytical, research, organizational andrelationship building skills
Experience of corporate governance databasesand applications (e.g. Blueprint, GEMS) is beneficial but not essential
