EY is a marketleader in the provision of multi-disciplinary professional services to multinationalcompanies (MNE). One of the service offerings available to clients as part ofEY’s Global
Compliance and Reportingservice line is Corporate Secretarial Services which involve providingassistance to MNE’s in managing the global legal entity compliance obligationsrequired to keep their entities in good standing.
These global services arecoordinated on behalf of the client by a central management team comprised ofregional corporate secretarial professionals supported by Global DeliveryServices (GDS).
TheGDS Corporate Secretarial Support role requires collaboration with regionalmembers of the central management team, local country EY corporate secretarialprofessionals, and potentially the client in an effort to support thecompletion of annual entity compliance obligations as well as ad hoc ancillaryroutine compliance matters (e.
g. changes to board of directors, entityname / address changes, stock transfers, capital contributions, etc.). In addition, the individual serving in thisrole will support :
theimplementation of the practice’s service delivery model at the start of newcorporate secretarial engagements;
maintenanceof client legal entity databases (e.g. Blueprint OneWorld, hCue, GEMS)including data management, configuration and reporting;
newbusiness development including pipeline management, preparation of proposalsand responses to RFPs, and maintaining the practice’s customer relationshipmanagement (CRM) system; and
Key administrativeprocesses including the practice’s workflow and matter management system,contracting with EY member firms, and client billing.
Coordinateend-to-end activities related to annual compliance and routine compliancematters for a portfolio of client legal entities, including :
Managea compliance calendar of entities and tracking the progress of correspondingmatters to completion;
Ensurein-country EY corporate secretarial teams prepare draft compliance documentswithin prescribed timeframes;
Provideinitial quality review of draft compliance documents;
Routedocuments through the firm’s workflow / matter management system and updating thestatus of the matter as necessary;
Coordinatedocument execution and / or authentication (notarization / legalization) requirementswith local country EY teams or client contacts, as necessary;
Updatethe client’s legal entity database with information relevant to a completedmatter and uploading corresponding finalized documents;
Provideregular status updates to regional central management team members;
Serveas the initial point of contact for issues emanating from in-country EY memberfirms and or the central management team and taking necessary actions toresolve issues.
Inconnection with the implementation of the practice’s service delivery modelupon winning a new engagement :
Prepareand distribute communications to in-country EY firms;
Coordinateentity records transfers;
Prepareentity health check assessment templates and populate with central entity dataprovided by the client, distribute templates to in-
country EY teams and monitorcompletion of the assessments, compile results into a global report fordistribution to the client.
Updatedata in the client’s legal entity database based upon results of the entityhealth check assessments, and upload core entity documents;
Design,configure, and implement EY’s workflow and matter management technology.
Excellent analytical skills and ability to assessmatters / situations, identify related issues and necessary actions;
Project management skills and an ability to work in amulticultural and virtual team;
Proven ability to manage multiple projects andresources simultaneously;
Strong Interpersonal, organisational, communicationand IT skills;

Attorney with 1-3 years’ experience in the corporate practice of a law firm, in-house legaldepartment, or comparable professional services firm
Experience with managing international entitycompliance matters preferred
Strong naturally spoken English
Strongtime management and organizational skills
